Welcome to PayMato LLC ("PayMato," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your use of our SaaS platform, which allows vendors to create stores, generate invoices, and receive payments. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.
1. Acceptance of Terms
By using PayMato, you acknowledge and agree to comply with these Terms and all applicable laws and regulations. If you are using PayMato on behalf of a business entity, you confirm that you have the authority to bind that entity to these Terms.
2. Services Provided
PayMato is a SaaS platform that facilitates store creation, invoicing, and payment processing for vendors. We do not handle or process payments directly but integrate with third-party payment processors.
3. User Responsibilities

You are responsible for maintaining the security of your account credentials.

You agree not to use PayMato for any illegal, fraudulent, or unauthorized purposes.

You are solely responsible for all transactions conducted through your account.

If you suspect unauthorized use of your account, notify us immediately at support@paymato.io.
4. Acceptable Use Policy
To maintain a safe and lawful environment, users must adhere to the following guidelines:
Prohibited Activities
Users may not use PayMato to:

Engage in fraud, money laundering, or any illegal financial activities.

Sell illegal, restricted, counterfeit, or stolen goods.

Promote or distribute adult content, gambling services, or high-risk financial services.

Conduct or facilitate any form of cybercrime, hacking, or unauthorized access.

Engage in activities that promote hate speech, discrimination, or violence.

Use PayMato for deceptive, misleading, or abusive marketing practices.
User Conduct Restrictions

Users must not attempt to disrupt or interfere with the platform’s operation.

Users must not engage in abusive behavior, harassment, or threats toward other users, vendors, or PayMato staff.

Users must not engage in spamming, phishing, or any form of malicious activity.
Compliance with Laws and Regulations

Users must comply with all applicable financial, privacy, and consumer protection laws in their jurisdiction.

Vendors are responsible for ensuring that their products, services, and transactions comply with relevant laws and payment processor policies.
Enforcement and Consequences

PayMato reserves the right to suspend or terminate accounts that violate this Acceptable Use Policy without prior notice.

Users found engaging in prohibited activities may be reported to law enforcement authorities where applicable.
5. Liability Limitations

Company Liability: PayMato LLC, its owners, officers, employees, and affiliates are not liable for any loss, damage, or harm resulting from the use of our platform.

Third-Party Services: We are not responsible for third-party payment processors, banks, or other services used in connection with PayMato.

User Conduct: Users are fully responsible for their own activities on the platform, including compliance with local laws.
6. Developer and CEO/Owner Liability

PayMato LLC, including its developers, CEO, and owners, is not responsible for any legal actions, damages, or claims arising from misuse or unlawful activity conducted via the platform.

By using our service, you agree to indemnify and hold harmless PayMato LLC and its personnel from any liabilities, costs, or claims.
7. Refund & Cancellation Policy

How Refunds Are Processed: Consumers can request refunds from vendors within an agreed time period between them, if applicable.

Timeframe for Refunds: Refund processing times depend on the vendor’s refund policy and the payment processor’s timeline.

Conditions for Refunds: Vendors are responsible for setting refund conditions. If a vendor does not explicitly offer refunds, the consumer may not be eligible. PayMato does not enforce vendor refund policies.

How Users Can Request Refunds: Consumers can message vendors directly through the platform or dispute the transaction through the payment processor if applicable.
8. Account Termination and Abuse Reporting
We reserve the right to terminate or suspend accounts that violate these Terms without prior notice. If you encounter abuse, report it to support@paymato.io.
9. Disclaimer of Warranties
PayMato provides its services "as is" and "as available," without any warranties, express or implied. We do not guarantee uninterrupted service, and we disclaim all warranties of merchantability or fitness for a particular purpose.
10. Indemnification
You agree to indemnify and hold harmless PayMato LLC, its owners, directors, employees, and affiliates from any claims, liabilities, damages, losses, and expenses arising from your use of the platform.
11. Intellectual Property Rights

All content, trademarks, logos, and intellectual property on the PayMato platform belong to PayMato LLC.

Users may not copy, distribute, or modify any part of the platform without explicit permission.
12. Subscription and Payment Terms

PayMato operates on a subscription model, and users agree to pay all fees associated with their account.

We reserve the right to change pricing at any time with notice.

No refunds will be provided for unused subscription periods.

Failure to make payments may result in account suspension or termination.
13. Data Privacy and Security

We take data security seriously and implement industry-standard measures to protect user data.

However, we do not guarantee complete security and are not liable for data breaches beyond our control.
14. Limitation of Liability for Service Interruptions

PayMato is not responsible for service disruptions, downtime, or data loss due to server failures, cyber-attacks, or unforeseen technical issues.

We do not guarantee 100% uptime and are not liable for losses resulting from service outages.
15. Force Majeure
PayMato LLC is not responsible for any failure to perform due to unforeseen circumstances, including but not limited to natural disasters, acts of war, government restrictions, cyberattacks, or technical failures beyond our control.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts of Plano, Texas.
17. Amendments to Terms
We reserve the right to update these Terms at any time. Continued use of the platform after changes constitutes acceptance of the new Terms.
